Terms of Service

1. Acceptance of Terms

By accessing or using Pan Mate ("Service"), operated by Pan Mate ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Pan Mate. We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To use the Service you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept all risks of unauthorised access to your account.
  • Notify us immediately at info@panmate.app if you believe your account has been compromised.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Description

Pan Mate is a kitchen management application that provides meal planning, recipe storage, shopping list management, pantry/stock tracking, nutrition information, and supermarket price comparison features. The Service is available as a web application and via native mobile apps.

5. Free and Premium Tiers

The Service operates on a freemium model with two tiers: Free and Premium. Your tier determines which features and how much of each feature you may access.

5.1 Free Tier

The Free tier is provided at no cost and includes the following capabilities, subject to the limits set out below:

  • Meal creation: Create up to 10 meals via manual entry.
  • Recipe URL import: Import up to 5 recipes per calendar month from recipe website URLs.
  • Shopping lists: Maintain up to 1 shopping list (either a regular list or a staples list).
  • Pantry / stock tracking: Track up to 20 items across all stock lists via manual entry.
  • Meal planner: Access a meal planner view covering 3 days before and 3 days after today (manual entry only).
  • Collaboration: 1 collaboration slot total (combined outbound invites and inbound shares). Free users may accept shared meal invites unconditionally. Accepting a shared shopping list invite or sending an outbound invite uses the collaboration slot. Free users cannot generate collaboration invites for stock or planner resources.
  • Public meal sharing: Share individual meals publicly in view-only mode.
  • Price tracking: Basic supermarket price comparison data.

Free tier features are primarily manual workflows, with limited access to AI recipe imports (up to 5 per calendar month). All other AI-powered features require a Premium subscription. Free tier limits are applied server-side and are not circumventable.

5.2 Premium Tier

The Premium tier removes Free tier limits and unlocks additional features, including:

  • Unlimited meal creation and recipe storage.
  • Unlimited recipe URL imports with AI instruction editing.
  • AI meal creation (text and image-based, not limited to URL imports).
  • AI meal editing for existing meals.
  • AI-powered shopping list creation and bulk operations.
  • AI-powered pantry/stock management, including expiry suggestions and bulk operations.
  • Nutrition estimation, recipe weight estimation, and nutrition suggestions.
  • Full meal planner access with extended date range and history.
  • Unlimited shopping lists and stock lists with no item caps.
  • Unlimited collaboration across all resource types (meals, shopping lists, stock lists, planners) with viewer and editor roles.
  • Full-detail supermarket price comparison.

5.3 Feature Changes

We may add, modify, or discontinue features at any time. If we materially reduce the features included in your current paid subscription tier, we will provide reasonable advance notice. Free tier features may be modified at any time without notice.

6. Subscriptions and Payment

6.1 Pricing

Premium subscriptions are available on monthly, quarterly, and yearly billing cycles. Prices are displayed in Australian Dollars (AUD) on our pricing page and may vary by platform (web vs. mobile app stores). All prices are inclusive of applicable taxes unless stated otherwise.

6.2 Payment Processors

Web subscriptions are processed by Stripe. Mobile app subscriptions are processed through the applicable app store (Apple App Store or Google Play Store) via RevenueCat. We do not store your full credit card details. Payment is subject to the terms and privacy policies of the relevant payment processor.

6.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current rate for your plan at each renewal. You may manage or cancel your subscription at any time through your account settings or the relevant app store.

6.4 Free Trial

New users may be offered a free trial of Premium features. At the end of the trial period, your account will revert to the Free tier unless you have purchased a Premium subscription. We reserve the right to modify or discontinue free trials at any time.

6.5 Refunds

Refunds for subscriptions are handled in accordance with Australian Consumer Law and the applicable app store refund policies. If you believe you are entitled to a refund, please contact us at info@panmate.app. For app store purchases, refunds are subject to the Apple App Store or Google Play Store refund policies respectively.

6.6 Price Changes

We may change subscription prices from time to time. Price changes for existing subscriptions will take effect at the start of your next billing cycle following notice of the change. Continued use of the Service after a price change constitutes acceptance of the new price.

7. User Content

7.1 Ownership

You retain all rights to content you create, upload, or generate through the Service ("User Content"), including recipes, meal plans, shopping lists, stock data, images, and text instructions.

7.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive licence to host, store, process, and display your User Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your content or your account.

7.3 Shared Content

When you share content with other users through collaborative features, those users may view, and if granted editor access, modify the shared content. We are not responsible for the actions of other users with respect to shared content.

7.4 Content Accuracy

AI-generated content, including recipes, nutrition estimates, shelf-life suggestions, and shopping list items, is provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for verifying any AI-generated information before relying on it, particularly regarding dietary restrictions, allergens, or nutritional requirements.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  • Use the Service to transmit malware, viruses, or any code of a destructive nature.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to reverse-engineer, decompile, or disassemble any portion of the Service.
  • Use automated scripts, bots, or scraping tools to access or interact with the Service, except as expressly permitted.
  • Resell, sublicense, or distribute the Service or any part thereof without our prior written consent.
  • Use the Service to send unsolicited communications or spam.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

9. Intellectual Property

The Service, including its original content, features, functionality, design, code, and documentation, is owned by Pan Mate and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use the Service as expressly permitted herein.

10. Third-Party Services

The Service integrates with or relies on third-party services, including but not limited to:

  • Supabase: Cloud hosting and database services.
  • Stripe: Payment processing for web subscriptions.
  • RevenueCat / Apple / Google: In-app purchase processing for mobile subscriptions.
  • AI service providers: Third-party AI providers that process data for Premium AI features.
  • Supermarket data sources: Third-party pricing data for Woolworths, Coles, and Aldi.

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from use of the Service will be accurate or reliable.
  • The quality of any content, products, services, or information obtained through the Service will meet your expectations.
  • Any errors in the Service will be corrected.

Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy implied or imposed by the Australian Consumer Law or any other applicable law that cannot be lawfully excluded or limited.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall Pan Mate, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorised access, use, or alteration of your transmissions or content.

Our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) AUD $100.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pan Mate and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party right, including intellectual property, privacy, or proprietary rights.
  • Any User Content you submit, post, or transmit through the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent, abusive, or illegal activity, or conduct that we determine to be harmful to other users or third parties.

Upon termination:

  • Your right to use the Service ceases immediately.
  • We may retain your data for a reasonable period in accordance with our Privacy Policy, after which it will be deleted.
  • Any outstanding payment obligations survive termination.

You may terminate your account at any time by contacting us at info@panmate.app or through your account settings. Termination does not entitle you to a refund of any fees already paid unless required by Australian Consumer Law.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal claim, you agree to contact us at info@panmate.app and attempt to resolve the dispute informally for a period of at least 30 days.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for any disputes arising out of or relating to these Terms or the Service.

15.3 Australian Consumer Law

Nothing in these Terms is intended to restrict, exclude, or modify the application of the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any equivalent State or Territory consumer protection legislation. Where the Service fails to meet a consumer guarantee, you are entitled to remedies as provided under the Australian Consumer Law, including (where applicable) a refund.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental policies referenced herein, constitute the entire agreement between you and Pan Mate regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
